Insurance Restoration Services Agreement

Notice Required by Texas Law: A property owner who is insured under a property insurance policy is required by Texas law to pay any deductible applicable to a covered claim. It is unlawful in Texas for a company that reasonably expects to be paid in whole or in part from insurance proceeds to knowingly allow, or assist, an insured customer in avoiding payment of that deductible.

1. Scope of Engagement and Insurance Coordination

Customer, as owner (or authorized agent of the owner) of the Property, engages North Texas Exteriors ("Contractor") to perform restoration and roofing work as approved through Customer's property insurance claim, and authorizes Contractor to communicate directly with Customer's insurance carrier and, if applicable, mortgage holder regarding the scope, approval, and funding of that work.

Contractor will pursue authorization from the insurance carrier before beginning any work beyond what is documented in the carrier's loss report, together with any upgrades Customer separately selects. Upgrades are generally not covered by insurance, and Customer is responsible for the cost of any selected upgrades in addition to the policy deductible.

Customer agrees that insurance claim drafts shall be made payable to North Texas Exteriors, or jointly payable to North Texas Exteriors and any mortgage holder with a lien on the Property. If a mortgage company is named on the draft, Customer authorizes that company to endorse the draft and remit payment directly to North Texas Exteriors.

Customer acknowledges that supplemental insurance claims, along with the customary 10% overhead and 10% profit allowances typically included by insurers in a covered loss, are payable directly to North Texas Exteriors. Customer agrees to promptly provide Contractor with all insurance-related documents, including the carrier's loss/scope report.

2. Contingency on Carrier Approval

If the insurance carrier declines to authorize the work, or Contractor and the carrier cannot agree on the amounts to be paid, this Agreement becomes null and void and Customer owes Contractor nothing under it. If, however, Customer cancels or otherwise breaches this Agreement after work has been authorized and commenced, Customer shall pay Contractor liquidated damages equal to 25% of the total value of the work approved by the insurance carrier for the Property.

3. Roofing Materials

4. Decking

Customer understands that damage to roof decking is not always covered by insurance. Where decking replacement is required and is not covered by the claim, Customer agrees to pay Contractor as follows:

5. Insurance and Mortgage Information

6. Amendments

Additional Terms and Conditions

These Additional Terms are incorporated into and made part of the Insurance Restoration Services Agreement between Customer and North Texas Exteriors.

1. Change Orders. Any change to this Agreement must be in writing. Unless a change order is paid for in advance, if Contractor encounters unforeseen or changed conditions during the course of work that increase the total cost beyond the original estimate, Contractor has the first right to seek the additional payment from the insurance carrier. Customer remains responsible for any balance the carrier does not cover.

2. Customer's Obligations. Customer represents that nothing prevents completion of the work described in this Agreement. Customer will, as needed, relocate belongings, trim landscaping, and otherwise clear the work area to give Contractor free access to the scope of work, and will provide electricity and maintain premises liability insurance on the Property. If work on an adjoining property is necessary, Customer will help secure any needed permission at no cost to Contractor. Contractor's services under this Agreement may be performed during daylight hours, Monday through Saturday, unless otherwise agreed in writing. Customer acknowledges having received and reviewed Contractor's separate "Preparation for Work" outline describing these obligations in full.

3. Contractor's Obligations and Liability. Contractor is not responsible for delays or damage caused by acts of God, including but not limited to rain and windstorms, and is not liable for negligence or misuse by Customer or by others previously responsible for clearing obstructions before work began. Contractor is not responsible for the pre-existing condition of the Property, for damage to shrubs, trees, or personal property in the work area, nor for remedying pre-existing code violations.

4. Promotional Signage and Testimonials. Contractor may place advertising signage on the Property for up to 30 days following completion of the work. If Customer provides a written testimonial, Customer agrees that the testimonial becomes the property of North Texas Exteriors and may be used in future marketing.

5. Payment Terms. Full payment is due to North Texas Exteriors upon completion of the work. Any balance is due within 30 days of completion, unless payment is still pending verification from the insurance carrier, in which case Customer shall forward any carrier check to North Texas Exteriors or to the mortgage company for endorsement, as applicable. All processed payments are payable directly to North Texas Exteriors. Customer agrees to cooperate in good faith in obtaining funds from the insurance carrier and authorizes Contractor to contact both the insurance carrier and mortgage company to check on the status of any pending draft. If Customer fails to pay in full or fails to cooperate in a timely manner, Contractor may add a 5% service charge on any balance unpaid for more than 30 days, and may send a notice of delinquency and pursue collection of all amounts owed, including reasonable costs of collection.

6. Project Timing. Contractor will complete the work promptly. Customer acknowledges that any projected completion date is an estimate only and is subject to change due to factors including, without limitation, insurance carrier delays, changes to the scope of work, material availability, and weather or other acts of God.

7. Permits. Contractor may obtain permits at Customer's request; permit and handling fees apply. Contractor is not responsible for cost increases or plan changes required by the permitting authority. Customer authorizes Contractor to obtain any permits necessary for the work.

8. Materials and Warranty. All materials are warranted against defects in material and workmanship upon delivery or installation. No other warranty is authorized except as provided under the applicable manufacturer's standard written warranty held by the purchaser. Any materials not used in performing this Agreement remain the property of North Texas Exteriors, whether or not they were delivered to the job site. Materials that are special-ordered or custom-made for this project cannot be changed, cancelled, or modified once ordered, and Customer is responsible for any costs associated with returning or re-ordering such materials.
